Seller Agreement

Version v1.0 · Effective 15 August 2026

Seller Agreement

This agreement governs selling on LoomLane. It is between your business ("you", "the Seller") and LOOMLANE TECHNOLOGIES LLP ("LoomLane", "we").

Accepting it binds your business. Only an owner of the shop can accept it.

1. What each of us does

You list your sarees, keep stock and prices accurate, confirm orders, pack well, dispatch on time, and stand behind what you sold.

We run the marketplace, bring you buyers, take payment, arrange delivery, handle the buyer-facing support, and settle your money.

The sale is yours. The contract for each saree is between you and the buyer. You are the seller of record: you are responsible for the goods, their description, their quality, their legality, and the tax invoice.

We are the marketplace and, for payments, we collect on your behalf.

2. Getting onboarded

Before you can sell, you must give us and keep current:

We verify these. Selling stays disabled until verification is complete, and we may suspend selling if a document expires or turns out to be false.

You must tell us within a reasonable time if the business changes hands, changes constitution, or changes bank account.

3. Listing

Be accurate. Fabric, weave, blouse piece, length, colour, care, and origin. A buyer choosing a ₹20,000 saree from photographs is relying entirely on what you wrote.

Be honest about craft. Do not describe a powerloom saree as handloom. Do not claim a geographical indication your saree does not carry. This is the thing we treat most seriously, because it is the thing that would destroy the platform's reason to exist.

Photographs must be yours — of the actual saree, not a stock image or another seller's photograph. By uploading them you give us permission to use them to display and market your listing on LoomLane and in our marketing.

Prices. You set them. Where you show a maximum retail price alongside, it must be a genuine price, not one inflated to manufacture a discount.

Prohibited. Counterfeits, goods that infringe another's rights, illegal goods, anything you do not have the right to sell.

Stock. Keep it accurate. Nothing damages a buyer's trust faster than paying for a saree that was never available.

4. Orders and dispatch

Confirm within the confirmation window shown in your dashboard. Orders you do not confirm are cancelled automatically, refunded to the buyer, and counted against your performance.

Dispatch within the timeline on the order. Pack so the saree arrives as it left you.

Cancelling a confirmed order is a serious event — the buyer has paid and planned around it. Repeated seller cancellations affect your standing on the platform, and persistent cancellation is grounds for suspension.

5. Returns

Buyers may return under the published Returns & Refunds Policy. You set your own return window for your listings, within the range the platform allows; the window applying to any order is frozen at the moment of the order and cannot be shortened afterwards.

When a return arrives you assess it against the stated reason and the returnable-condition rules. Where the return is because of a defect, damage, a wrong item, or a mis-description, the return shipping cost is yours, not the buyer's.

Where you and the buyer disagree, we look at the evidence and decide. We will not simply take either side's word, and we will tell you the reasoning.

6. Commission, charges and settlement

Commission. We charge a commission on the value of each sale. Your rate is shown in your dashboard, and any change applies going forward, never to orders already placed.

Charges. Shipping, payment-gateway and other charges apply as set out in your dashboard. Everything deducted from a settlement is itemised — you can always see what was taken and why.

Discounts. Where a discount is funded by you, it comes off your settlement. Where it is funded by LoomLane, it does not. Which is which is shown before you opt in to any promotion.

When you get paid. After the order is delivered and its return window closes. That is deliberate: settling before the return window would mean recovering money from you afterwards, which is worse for you than waiting.

How. To your verified bank account, on the settlement cycle shown in your dashboard.

Tax. You raise the tax invoice to the buyer. You are responsible for your GST, your returns and your filings. We deduct tax at source where the law requires and issue the corresponding certificates. We do not give you tax advice.

Holds. We may hold a settlement where there is a live dispute, a suspected fraud, a chargeback, or a legal requirement. We will tell you why and for how long, and release it when the reason ends.

7. Performance

We measure what affects buyers: confirmation rate, dispatch time, cancellation rate, return rate for defect or mis-description, and complaints. Your figures are in your dashboard — visible to you, not a secret score.

Sustained poor performance leads to a conversation first, reduced visibility second, and suspension last. We would much rather help you fix it than lose you.

8. Suspension and ending

You may leave with reasonable notice. You must fulfil orders already placed, and honour returns on orders already delivered. Settlements owed to you are paid on the normal cycle.

We may suspend or end this agreement where you materially breach it, where you sell counterfeit or misdescribed goods, where fraud is involved, or where the law requires it.

Where we suspend, we tell you why and what would resolve it. Where the reason is severe — counterfeits, deliberate misdescription of craft, fraud — suspension may be immediate.

Ending does not cancel obligations already accrued on either side.

9. Your responsibility for what you sell

You indemnify us against claims arising from the goods you sold, what you said about them, your infringement of another's rights, and your breach of this agreement. That is the ordinary consequence of being the seller of record.

Subject to rights that cannot lawfully be limited, our liability to you in any twelve-month period is limited to the commission we earned from your sales in that period.

10. Confidentiality and data

Buyer data we give you — name, address, phone — is given for one purpose: fulfilling that order. You may not use it to market to the buyer outside LoomLane, sell it, or keep it beyond what your own legal obligations require. You must handle it in line with the Digital Personal Data Protection Act, 2023.

Your commercial terms with us are confidential.

11. Store-branded apps

Where you take a store-branded app, additional terms apply — including that the app is published under your own developer account, that you are the merchant of record on your storefront, and that LoomLane is disclosed as the backend service provider. Those terms are provided to you separately before you commit to it.

12. Changes

We publish changes as a new version with its own effective date. Material changes require your acceptance; you will be shown what changed and given a period to accept before it becomes mandatory. Earlier versions stay available at their permanent links, so you can always see what you agreed to and when.

13. Law and disputes

Governed by the laws of India. Talk to your account contact first — most disagreements are a misunderstanding about a settlement line, and are resolved in a conversation. Otherwise hello@loomlane.org, and then the Grievance Officer whose contact details are published on the Grievance Redressal page.
